This is a new role for a Legal Counsel with a SaaS / IT / Outsourcing background; this is a unique and exciting chance to join a fast-growth business as their on-site representative in London, with other members of the Legal team based in the US and Europe.

The Team / Role

Corporate Counsel - London (hybrid working / remote workign available with travel to London where required)


You'll be joining a highly-skilled international team of lawyers who are incredibly passionate about what they do. This is characterised by their commitment to working as a team and focusing on customer focus.

When circumstances allow, the team is sociable and enjoys getting to know each other.

Reporting directly to the General Counsel, a substantial part of your time will be spent reviewing, drafting, and negotiating commercial contracts for their European markets.

This includes both customer and vendor contracts. In addition, you will be responsible for keeping the business, their Partners and their services compliant with applicable laws, handling various requests and training employees globally.

Essential functions within this role furthermore include:

Provide the organisation with proactive legal advice.Identifying business risks and devising practical, business-oriented solutions to mitigate such risks.Be an active stakeholder in cross-departmental compliance projects and coordinate with key stakeholders from across the organisation (e.g., Finance, Customer Support, Marketing, and IT).Support the local implementation of company-wide legal initiatives and standards.

Requirements

3 (no upper limit) years PQE from either a law firm or IDEALLY with experience as in-house counsel in Europe.Previous experience in negotiating SaaS contracts and a strong commercial understanding.Excellent English communication skills, both verbally and in writing.UK qualified lawyer.Strong collaboration skills and easily form relations in a multicultural environment.Ability to operate in a fast-paced, agile working environment with quick turnaround times.

In House Legal & Compliance Counsel - Trading & Shipping

They make the basic raw materials for industry sectors such as automotive, building and construction, healthcare and medical, water treatment and many more.

The Trading & Shipping arm of the Group undertakes worldwide physical trading and shipping and financial trading of wholesale and downstream refined oil products, petrochemical products, feedstocks, energy and CO2 products, with the current focus on Europe, North America and Asia.

The Role:

They seek an experienced lawyer 5 PQE to join as their Legal and Compliance Counsel - this role is to be based at their HQ in London.

The company requires a Senior Legal & Compliance Counsel to assist the Head of Risk & Legal to play a key role in delivering legal and compliance services and support to the business. You will also be working on a day-to-day basis for managers across the full spectrum of the business.

You'll work in different legal and regulatory environments with constant legislative changes. Also, work will surround different strategies and projects related to the business' competitiveness and challenges.

Purpose/Responsibilities:

Provide legal and compliance-related support for the feedstocks, petrochemicals, energy and CO2 desks.Manage the negotiation of physical and financial master trading agreements (such as EFETs, ISDAs and IETAs) and more bespoke structured trading agreements and supporting documents such as charterparties, licence agreements and storage agreements.Responsible for advising on and managing compliance aspects of the Business and keeping up to date with relevant changes in the compliance landscape.Provide broader legal advice to the Business relating to corporate, commercial and regulatory matters and disputes.Share legal knowledge by producing know-how that non-lawyers can readily understandAssist other Group businesses and projects with specialist knowledge and expertise as relevant.Work with Head of Risk and Legal or directly with the Business on all of the above.

Education & General Experience Required:

Law degree and excellent legal training; 5 years PQE from a prominent law firm or in-house teamBroad legal/commercial experiencePrevious in-house experience preferable (not required)Previous experience of physical and financial trading contracts and/or shipping would be beneficial.Some experience of one or more of the following: MIFID II, REMIT, EMIR, FinfraG, Dodd Frank and MAD/MAR, sanctions, KYC/Counterparty Due Diligence.

Technical Skills Required:

Broad legal knowledge (corporate law, commercial & contract law, private & public law)Exceptional drafting and negotiation skillsNative or excellent written and spoken English.
