Senior Legal Counsel

This is an exciting opportunity for a Commercial Lawyer to join this market-leading energy company on a 12-month FTC. The business owns an asset which spans the border between the UK and France, requiring vast management, including various legal aspects.

They are seeking a general Commercial lawyer with construction experience.

The Role

Reporting to the Head of Legal on a 12- month fixed term arrangement, the company is seeking a Solicitor to join its in-house legal team.

The primary focus of the role is to, with a handover, provide maternity cover as a commercial lawyer and, in particular, offer legal advice and support to the business concerning operations, maintenance and legacy construction arrangements.

This role will be at least a 12-month fixed-term contract, but there are also good prospects for this role to become permanent.

The Role:

This company is looking for a highly qualified Legal Counsel to oversee the legal aspects of the business and to provide accurate and timely counsel to internal stakeholders at all levels.

This role is interim (probably 3-6 months). However, they are also looking for a permanent candidate long term, so if you are able to start immediately AND are looking for a permanent role, this could be perfect.

Requirements:

England & Wales Qualified Solicitor 5 PQE (no upper limit)Experience ideally working in eCommerce / IP; however, a Solicitor experienced in commercial contracts that can handle a broad diet of work will be of interest - if you haven't got experience in the above but are willing to learn, you will also be considered.Experience in areas such as the following would be a benefit as well: technology, procurement, marketing, media, sponsorships, events, corporate finance and corporate governance, intellectual property, trademarks, employment, litigation and/or logistics.

Legal Counsel - Construction

In this role, you will work within one of the leading Data Centre providers, undertaking critical strategic work relating to their expansions within EMEA. They require an accomplished Construction / Development Solicitor looking to go in-house, with at least five years of post qualified experience.
The Company
This Company is a leading Data Centre provider headquartered in the US with recent expansion into the European Markets, including their new HQ in London. In addition, they are looking to add to their EMEA legal team based in London.
The Role: Corporate Counsel, Development / Construction (EMEA)
A large scaling-up operation is happening in the US and Europe with recent land acquisitions across the continents.
Ideal candidates for this role will have in-house and law firm experience, strong business acumen, passion for growing a business and experience in continuous improvement and driving enhancements that benefit the Company.
They are looking for a Corporate Counsel, Development (London based with Hybrid Working) to be responsible for:

Legal and corporate governance in support of the Company's development projects across EMEA.Frequently engaging with its professional consultants, equipment supply chain and general contractors for various projects across EMEA and the Corporate Counsel, Development will assist the business in negotiating and agreeing construction, professional services, supply and energy agreements, amongst others, all the time managing and controlling risk whilst facilitating developments being delivered at pace.


Essential functions:

Be a strategic partner by providing practical, business-focused and sound legal advice primarily to the Design, Engineering & Construction and Procurement teams.Responsible for managing and supporting legal matters involving the Design, Engineering & Construction and Procurement teams, including tender processes, negotiating and drafting agreements, and governance and contract management.Strategically using and assisting with the management of outside counsel.Provide proactive and strategic legal advice that enables the Company to achieve its business and strategic objectives while fully and appropriately managing legal risk.Responsibilities: Structure, review, draft and negotiate various vendor agreements and complex business transactions, including construction contracts, service agreements, framework agreements and supply agreements.Support global legal strategy for commercial contracts with contractors, consultants, suppliers and customers, including contract management and governance.Responsible for legal work and supervision of outside counsel associated with development, engineering, and construction projects, including construction contracts, professional services agreements, supplier contracts, framework/master agreements, and purchase orders.Work closely and coordinate with colleagues in the Legal team covering Site Acquisitions, Operations and Customers.Support the legal department in ongoing continuous improvement initiatives and standardising working practices across the region.


Requirements:

Qualified England & Wales SolicitorMinimum of 5 years post qualification experience with a leading law firm or in-house legal team.Experience with construction contracts (including industry standards such as FIDIC and JCT) as well as consultant appointments, supply agreements and other commercial contracts. Working knowledge of real estate law would be beneficial but not required.Experience with projects in other jurisdictions, particularly EMEA, would be beneficial.Experience in supporting group compliance activities, including developing policies and providing training and monitoring.Some experience of working in an in-house legal team is preferred.Experience within the data centre or telecommunications industry is preferred but not required.

Providing legal advice and corporate governance in support of Site Selection and Acquisition teams in purchasing property suitable for hyper-scale data centre development across EMEA.This position involves managing, reviewing and negotiating a wide range of legal documents related to site acquisition activities.Managing legal due diligence for each specific target market and instructing and coordinating with external law firms supporting these activities.

Providing practical, proactive, business-focused, solutions-oriented and sound legal advice that enables the business to achieve its business and strategic objectives whilst fully and appropriately managing legal risk.Comprehensive legal support to and collaboration with the site acquisition team on all matters, including complex business transactions, governance and contract management and instructing and management of outside counsel in multiple jurisdictions.Relevant legal activities with all stakeholders across multiple jurisdictions.Play a key part of the Legal team in its delivery of high-quality legal services and risk management,

Responsibilities:

Responsible for legal work and instructing of outside counsel associated with site selection and acquisition.Structure, review, draft and negotiate various documents, including vendor contracts, sale and purchase agreements, amendments, NDAs and exclusivity, and other agreements.Support global legal strategy for commercial contracts, including contract management and governance and maintain organisation of all real estate and site selection legal documents.Providing timely day-to-day support across all functions within the group, in particular, related to acquisition and developmentEnsuring external advice is fit for purpose and any advice is understandably communicated to the business.Attend negotiations with the business and third-party vendors, such as land owners, landlords, real estate brokers and third-party technical professionals.Assist with legal due diligence effortsCoordinate with external counsel on regulatory and other legal requirements for real property acquisition across targeted marketsDevelop and maintain knowledge of laws for real property acquisitions in targeted markets.Assist with preparation of standard forms and templatesCoordinate with the Finance team on insurance and tax requirements related to site acquisition and development.Support the Legal department in continuous improvement initiatives and standardising working practices across the region.

Requirements:

Qualified England & Wales SolicitorMinimum of 5 years post qualification experience with a leading law firm or in-house legal team.Extensive real estate experienceGood knowledge of and experience in commercial real estate/property transactions. Familiarity with various forms of acquisition-related agreements and arrangements, such as Sale and Purchase, Leasehold and Development agreements and share purchase vehicles.Familiarity with end-to-end acquisition transactions.Knowledge of planning/zoning and related laws, regulations and procedures would be helpful but not necessary.Exceptional drafting and negotiation skillsExperience working in multiple jurisdictions preferred.
